Public Informational Meeting; Mutual-to-Stock Conversion

   The Insurance Department (Department) will hold a public informational meeting regarding the proposed plan of conversion submitted by Millers Mutual Insurance Company, a Pennsylvania domiciled mutual property insurance company. The proposed plan provides for conversion from a mutual property insurance company to a stock property insurance company and the formation of a mutual holding company. The filing was made under the Mutual-to-Stock Conversion Act (40 P. S. § 911-A et seq.). Policyholders and interested persons are invited to attend and participate.

   1.  Date and Time: September 24, 1999, beginning at 9 a.m.

   2.  Location: Capitol Associates Building, Suite 200, North Seventh Street, Harrisburg, PA.

   3.  Format of Meeting: The Department and Millers Mutual Insurance Company will provide information about the proposed plan of conversion and the review process. Policyholders and interested persons may voluntarily make comments about the proposed plan of conversion. Policyholders and interested persons may attend the meeting without making oral comments. The terms of the policyholders' insurance policy will not be affected by attending or not attending the meeting. The meeting will be recorded and a transcript may be purchased directly from the court reporter.

   4.  Legal Authority: The public informational meeting will be held under the provisions of the Mutual-to-Stock Conversion Act (40 P. S. § 911-A et seq.).

   5.  Questions Regarding the Specifics of the Plan of Conversion: Questions about the purchase of stock or other issues specific to the plan of conversion or questions about an insurance policy should be directed to David W.    6.  Written Comments: Persons who are unable to attend the public informational meeting or would prefer to submit written comments about Millers Mutual Insurance Company's proposed plan of conversion, may do so by mailing or delivering a copy of the comment to Michael S. Please be advised that all comments received will be part of the public files regarding this proposal, and will be shared with Millers Mutual Insurance Company for response.
