Application for Approval to Acquire Control of Highmark, Inc. and its Pennsylvania Domiciled Insurance Subsidiaries

Public Informational Hearing

 The Insurance Department (Department) will hold a public informational hearing regarding the proposed acquisition of control of Highmark, Inc. and its Pennsylvania domiciled insurance subsidiaries by UPE, a newly-formed nonprofit corporation. This ''Form A'' transactional filing is related to Highmark's proposed affiliation with West Penn Allegheny Health System. The affected Commonwealth domiciled insurance subsidiaries of Highmark include First Priority Life Insurance Company, Inc., Gateway Health Plan, Inc., HM Health Insurance Company, HM Casualty Insurance Company, HM Life Insurance Company, Highmark Casualty Insurance Company, Highmark Senior Resources, Inc., HMO of Northeastern Pennsylvania, Inc., Inter-County Health Plan, Inc., Inter-County Hospitalization Plan, Inc., Keystone Health Plan West, Inc., United Concordia Companies, Inc., United Concordia Dental Plans of Pennsylvania, Inc. and United Concordia Life and Health Insurance Company. The application was received on November 7, 2011, and was made under Article XIV of The Insurance Company Law of 1921 (40 P. S. §§ 991.1401—991.1413). Policyholders and interested persons are invited to attend and participate in the hearing. Persons may attend the hearing without any obligation to speak at the hearing.

 1. Date and Time: Tuesday, April 17, 2012, hearing to  begin at 9 a.m. with evening session to begin at 7 p.m.

 2. Location: Westin Convention Center, 1000 Penn Avenue, Pittsburgh, PA 15222

 3. Nature of Hearing: The public informational hearing will provide an opportunity for policyholders and interested persons to present comments relevant to the previously-referenced transaction. The proceeding will be recorded by a court reporter.

 4. Legal Authority: The public informational hearing will be held under Article XIV of The Insurance Company Law of 1921.

 5. Written Comments: Persons who are unable to attend the public informational hearing or would prefer to submit written comments in lieu of speaking at the hearing concerning the previously-referenced transaction, may do so by mailing or delivering a copy of the comments to Robert E.  6. Preregister to Attend the Public Informational Hearing: All persons attending the public informational hearing will be asked to sign in at the registration desk. To expedite signing in, the Department strongly encourages persons to preregister on or before April 12, 2012, at and click the registration icon. Note that preregistration is not required. An advance copy of the agenda will be distributed to persons who preregister to attend the public informational hearing.

 7. Preregister to Speak at the Public Informational Hearing: Individuals wishing to present comments should register in advance. Walk-ins will be accepted, time permitting. Preregister in advance at and click the registration icon. The Department anticipates scheduling 10 minute time slots per individual, but will take into account other factors.

 It is anticipated that speakers will be heard in the following general order:

 a) Preregistered speakers who filed written comments as provided previously by April 12, 2012.

 b) Preregistered speakers who did not file written comments as provided previously by April 12, 2012.

 c) Same day walk-in requests to speak, time permitting.

 d) Speakers who wish to present additional comments, time permitting.
